About us and these terms

Welcome: Hi we’re Envato and welcome to Envato Labs. We’re happy to have you here and we hope you enjoy your stay.
About us: Envato Labs is a service provided by Envato where you can find inspiration for your next creative project through the use of our suite of features, extensions, tools, products and services that are powered by artificial intelligence (each an AI Product).
Labs Terms: By accessing and using Envato Labs and the AI Products, you acknowledge and agree that the following terms apply to your use of Envato Labs:

(a) these Envato Labs User Terms;

(c) any applicable policies, guidelines and instructions we may issue from time to time regarding the use of Envato Labs and the AI Products.

PLEASE READ THESE USER TERMS CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS AND SECTIONS 25 AND 26 CONTAIN AN AGREEMENT TO ARBITRATE AND A CLASS ACTION WAIVER. THESE SECTIONS REQUIRE (WITH LIMITED EXCEPTION) THAT YOU SUBMIT CLAIMS YOU HAVE AGAINST US TO BINDING AND FINAL ARBITRATION, AND FURTHER (A) YOU WILL ONLY BE PERMITTED TO PURSUE CLAIMS AGAINST THE COMPANY ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION OR PROCEEDING, (B) YOU WILL ONLY BE PERMITTED TO SEEK RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ON AN INDIVIDUAL BASIS, AND (C) YOU MAY NOT BE ABLE TO HAVE ANY CLAIMS YOU HAVE AGAINST US RESOLVED BY A JURY OR IN A COURT OF LAW.

Your use of Envato Labs is conditional on your acceptance to be bound by these User Terms and the Envato Labs Product Terms (the Labs Terms).

Legal authority: The Labs Terms are a legally binding agreement between us and you. If you have signed up for an Envato account on behalf of a company or organization, another individual, or any other third party, you represent and warrant that you have full legal authority to agree to the Labs Terms and bind that third party.
Envato Terms: Your access to Envato Labs, including the Website and AI Products is subject to your continued compliance with applicable Envato terms and policies, including the Envato Elements User Terms, Envato Elements License, Acceptable Use Policy and Fair Use Policy (the Envato Terms). If you breach any of the Envato Terms, your access to Envato Labs may be suspended or terminated.
Definitions and interpretation: Any capitalized terms will have the meanings set out in the Definitions section of these User Terms or as otherwise defined in these User Terms. Words like ‘include’ and ‘including’ are not words of limitation and where anything is ‘within our discretion’ we mean our sole discretion.
Your privacy: For more information on how we handle the information you provide to us when you use Envato Labs, please see Envato’s Privacy Policy. By using Envato Labs, you consent to our collection, use and disclosure of personal data and other data as outlined therein.

Access to Envato Labs

Age: You must be 18 years or over to access and use Envato Labs and the AI Products.
Envato account and your responsibility: You agree that if you create an Envato account and become a Member to access Envato Labs, the information you give us is true, accurate and complete and that you will keep your account information up-to-date (including a current email address). Your account is not transferable which means you cannot sell your Envato account. You are responsible for any use of Envato Labs that occurs in conjunction with your username and password so keep your password secure and don’t let any other person use your username or password. If you realize there’s any unauthorized use of your password or any breach of security, you need to let us know immediately.
Access: Subject to your compliance with the Labs Terms, you are granted a non-exclusive, limited, non-transferable, freely revocable license to access and use Envato Labs for business or personal use. We reserve all rights not expressly granted under the Labs Terms.

(a) Member access: For member access to the Website and the AI Products, you must have an Envato Elements subscription. Member access includes full use of all tools and features (including AI Products) of Envato Labs subject to the terms of this Clause 10.

(b) Limited access: If you do not have an Envato Elements subscription, you may only have limited access to the Website and the AI Products. Such access may be limited, at Envato’s sole discretion, to restricted access to the tools and features (including AI Products) of Envato Labs, and a sample limit of Outputs you may generate for each AI Product.

To avoid doubt, Envato Labs is provided at Envato’s sole discretion and its tools and features (including AI Products), or usage limits may be modified, restricted, or discontinued at any time, without notice to you, whether or not you have Member access. Envato will not be liable for any loss, damage, or costs arising from such changes, and no refund or credit will be provided unless otherwise agreed in writing.

Restrictions: You must not (either in your own right or through any third party), and you must not permit any third party to:

(a) interfere with or disrupt the integrity or performance of Envato Labs (for example through sending mass unsolicited messages, “flooding” servers, or introducing a virus, time bomb, trojan horse, worm, cancelbot or other computer routine);

(b) attempt to gain unauthorized access to Envato Labs or related systems and networks;

(c) rent, license, sublicense, sell, resell or otherwise commercially exploit or make Envato Labs (or any component thereof) available to any third party (except as expressly contemplated by these Labs Terms);

(d) use Envato Labs or incorporate the matters contemplated by Envato Labs into, any product or service provided to a third party;

(e) use, or permit the use of, any security testing tools in order to probe, scan or attempt to penetrate or ascertain the security of Envato Labs;

(f) use any data mining, robots, or other similar data and/or image gathering and extraction methods in connection with Envato Labs;

(g) access Envato Labs or its related systems and networks for the purpose of developing or building a similar or competitive product or service or for the purpose of obtaining unauthorized access to Envato Labs;

(h) copy, republish, frame, link to, download, transmit, modify, adapt, create derivative works based on, rent, lease, loan, sell, assign, distribute, display, perform, license, sublicense, reverse engineer, reverse assemble, disassemble, or decompile any part of Envato Labs;

(i) a virtual private network (VPN) or any other means (including creating of facilitating creation of multiple accounts) to avoid compliance with the Labs Terms, or for any fraudulent or illegal reasons;

(j) remove any watermarking, copyright notices or other protective measures from any Output;

(k) use a false email address, impersonate others, or misrepresent your affiliation with any third party;

(l) generate, download or use any Output that you do not intend to appropriately use, use scripts or bots to mass generate or download Output (this includes using any means whatsoever to scrape/download the entire library and/or database of Output from an AI Product) or engaging in other generation or download behaviour that suggests inappropriate, excessive, or unusual use patterns, or in any other manner described in our Fair Use Policy; and/or

(m) access or use Envato Labs in any way not expressly permitted by the Labs Terms.

Third Party Services

Third Party Services: We may use third party software, services, websites, platforms or apps, including as part of the Website or an AI Product, in order to make certain content or services available to you, including AI-based software, services, websites, platforms or apps (Third Party Services).
Your use of Third Party Services: You acknowledge and agree that in respect of Third Party Services:

(a) your use of Third Party Services is at your own risk, and may be subject to the terms and conditions applicable to those Third Party Services;

(b) Envato has no liability arising from your use of, or access to any content (including any outputs generated) or service made available made by a Third Party Service;

(c) to the extent permitted by law, Envato does not control, endorse nor assume any responsibility for the practices or policies of any Third Party Service and we will not be liable to you in any way whatsoever for any matters related to a Third Party Service or the use or availability of its services; and

(d) unless otherwise stated, Envato is not affiliated with or otherwise associated with any of the Third Party Services that are used as part of Envato Labs.

Intellectual property

Envato Labs IP: All rights, title and interest (including all intellectual property rights) in and to Envato Labs including the AI Products, the Website, all information, software, APIs, products, text, design, compilation, “look and feel”, logos, trademarks, trade names, graphics and other materials that comprise Envato Labs (Envato Labs IP) is owned and/or controlled by the Group Companies.
Input and Output: The rights and obligations in respect of your Input and use of Output generated by you is as set out in the Envato Labs Product Terms, and your Input and use of Output is subject to these User Terms and the Envato Labs Product Terms.
Feedback: We welcome feedback, comments and suggestions for improvements to the Website, AI Products and other features and services (Feedback). You acknowledge and expressly agree that any contribution of Feedback does not and will not give or grant you any right, title or interest in Envato Labs or in any such Feedback. All Feedback becomes our sole and exclusive property of and we may use (or not use) and disclose Feedback in any manner and for any purpose whatsoever without further notice or compensation to you. You hereby assign to us any and all right, title and interest (including any intellectual property right) that you may have in and to any and all Feedback.
Copyright, trademark or intellectual property claims: We respect the intellectual property rights of others. If you believe that any content on the Website, or any Output generated by an AI Product infringes any intellectual property right (including copyright) please send a notice of alleged infringement via the process outlined in Envato’s Intellectual Property Policy. Your submission must, at a minimum:

(a) identify the content that you claim infringes your copyright, including a description and where we can find it the content including the URL.

(b) identify your copyrighted content and let us know where we can see this published, including the URL;

(d) include your full name and contact details, including your address, phone number and email address;

(e) include the following two statements:

“I have a good faith belief that use of the copyrighted materials described above as allegedly infringing is not authorised by the copyright owner, its agent, or the law.”; and

“I swear, under penalty of perjury, that the information in the notification is accurate and that I am the copyright owner or am authorised to act on behalf of the owner of an exclusive right that is allegedly infringed.”

(f) include your signature and the date. A digital signature is sufficient, so long as it is yours.

Our use of your information

Confidential information: We employ a number of technical, organizational and physical safeguards designed to protect your personal and confidential information. However, no security measures are failsafe and we cannot guarantee the security of your information. We will have no liability to you for any unauthorized access or use of any of your information, or any corruption, deletion, destruction or loss of any of your information. While using Envato Labs, you may also become aware of confidential or personal information about us or other Users. You promise to not disclose any confidential or personal information made available to you through Envato Labs to any other person.
License to use data: By using Envato Labs, you grant Envato and the Group Companies a non-exclusive, royalty-free, perpetual, and worldwide right to collect, analyze, and utilize data derived from your use of Envato Labs for its own commercial purposes. This includes, but is not limited to, data relating to site activity, User preferences, and transaction patterns. Envato will handle such data in compliance with applicable privacy laws and its Privacy Policy, and will anonymise or aggregate personal information where necessary to protect user privacy.

Termination

Suspension or termination: We may, using reasonable discretion, decide whether or not your use of Envato Labs complies with the Labs Terms. We can suspend or terminate your access to Envato Labs at any time for any reason (acting reasonably) including:

(a) if you breach the Labs Terms or any other terms applicable to any of your Envato accounts;

(b) if you breach any of our policies (or the policies of any other Group Company) including our Acceptable Use Policy;

(d) if you breach any of the Envato Terms; or

(e) if your Envato account has been suspended or terminated due to a breach of the Envato Terms, or because your Envato Elements subscription has expired or cancelled;

(f) if you act in a way that does not align with the values of the Envato community including:

i. engaging in serious or illegal misconduct (such as criminal or fraudulent activities); or

ii. infringing the intellectual property rights of others; or

(g) if you act in a way that could cause harm to Envato, the Group Companies or any user of Envato Labs or the Envato ecosystem of websites, including:

i. any public conduct or activity (such as public communications) that would adversely affect the reputation of Envato and the Group Companies; and/or

ii. any threats of harm or damage to an author, customer or user of Envato Labs or any other product or service of Envato or the Group Companies.

Indemnification; Disclaimer; Limitation of liability

INDEMNITY: YOU AGREE TO INDEMNIFY AND HOLD HARMLESS EACH GROUP COMPANY FROM AND AGAINST ANY AND ALL LOSSES, COSTS (INCLUDING LEGAL COSTS), EXPENSES, DEMANDS OR LIABILITY THAT THE GROUP COMPANY INCURS ARISING OUT OF, OR IN CONNECTION WITH, YOUR BREACH OF THE LABS TERMS AND/OR A THIRD PARTY CLAIM AGAINST THE GROUP COMPANY RELATING TO (A) YOUR USE OF ENVATO LABS OR ANY OF THE AI PRODUCTS, (B) ANY OF THE OUTPUT GENERATED BY YOU; OR (C) ANY USE OF ANY THIRD PRODUCTS OR SERVICES FORMING PART OF ANY THIRD PARTY OFFER. WE MAY, AT OUR EXPENSE, ASSUME THE EXCLUSIVE DEFENSE AND CONTROL OF ANY MATTER YOU INDEMNIFY US AGAINST, AND IF SO YOU AGREE TO COOPERATE WITH OUR REASONABLE REQUESTS FOR SUPPORT.
DISCLAIMER: TO THE EXTENT PERMITTED UNDER THE LAW, ENVATO LABS (INCLUDING THE WEBSITE, PRODUCTS, OUTPUT AND ANY OTHER CONTENT PROVIDED BY ENVATO), THIRD PARTY OFFERS AND THIRD PARTY SERVICES ARE MADE AVAILABLE TO YOU ON AN “AS IS” BASIS AND WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. YOU ACKNOWLEDGE THAT WE MAKE NO WARRANTY THAT (A) ENVATO LABS OR THE AI PRODUCTS WILL MEET YOUR REQUIREMENTS; (B) YOUR ACCESS TO ENVATO LABS OR ANY AI PRODUCT WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS AND OUTPUT THAT MAY BE OBTAINED FROM THE USE OF ENVATO LABS WILL BE ACCURATE OR RELIABLE; OR (D) THE QUALITY OF ANY OUTPUT, PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED BY YOU THROUGH ENVATO LABS WILL MEET YOUR EXPECTATIONS.
LIMITATION OF OUR LIABILITY: OUR LIABILITY TO YOU IN CONNECTION WITH YOUR USE OF ENVATO LABS OR THE LABS TERMS, IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, IS LIMITED AS FOLLOWS:

(a) UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY (WHETHER IN CONTRACT, TORT, OR OTHERWISE) SHALL WE BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOSS OF REVENUE, LOSS OF PROFIT, LOSS OF GOODWILL, LOSS OF CUSTOMERS, LOSS OF CAPITAL, DAMAGE TO REPUTATION, LOSS IN CONNECTION WITH ANY OTHER CONTRACT, LOSS OF DATA, OR INDIRECT, CONSEQUENTIAL OR SPECIAL LOSS, DAMAGE OR EXPENSE; AND

(b) OUR TOTAL AGGREGATE LIABILITY TO YOU ARISING OUT OF YOUR USE OF ENVATO LABS IS LIMITED TO ONE HUNDRED ($100) US DOLLARS.

CONSUMER LAWS: IN SOME PLACES (SUCH AS THE STATE OF NEW JERSEY) THERE MAY BE NON-EXCLUDABLE WARRANTIES, GUARANTEES OR OTHER RIGHTS. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS SET FORTH ABOVE MAY NOT APPLY TO YOU OR BE ENFORCEABLE WITH RESPECT TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF ENVATO LABS OR WITH THESE USER TERMS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE OF ENVATO LABS.

Dispute resolution

PLEASE READ THIS SECTION CAREFULLY AS IT AFFECTS YOUR RIGHTS.

Arbitration: Any controversy or claim arising out of or relating to the Labs Terms, or the breach thereof, shall be settled by binding individual (not class) arbitration administered under the Commercial Arbitration Rules of the American Arbitration Association or of the International Centre for Dispute Resolution in effect on the date of the commencement of arbitration, rather than in court, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof or having jurisdiction over the relevant party or its assets. The place of arbitration shall be the state and county of New York. The language of the arbitration shall be English. There shall be one arbitrator to be mutually agreed by the parties. Each party shall bear its own costs in the arbitration. Both parties agree that the following claims are exceptions to the Arbitration Agreement and will be brought in a judicial proceeding in a court of competent jurisdiction: (i) any claim related to actual or threatened infringement, misappropriation or violation of a party’s copyrights, trademarks, trade secrets, patents, or other intellectual property rights; (ii) any claim seeking emergency injunctive relief based on exigent circumstances (e.g., imminent danger or commission of a crime, hacking, cyber-attack) (iii) any claim arising solely from your alleged failure to pay fees due to Envato. All aspects of the arbitration proceeding, and any ruling, decision, or award by the arbitrator, will be strictly confidential for the benefit of all parties.
Class action waiver: YOU AND ENVATO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both you and Envato agree, no arbitrator or judge may consolidate more than one person’s claims or otherwise preside over any form of a representative or class proceeding. The arbitrator may award injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual claim. You and Envato acknowledge and agree that we are each waiving the right to a trial by jury as to all arbitrable disputes under these User Terms.
Severance: If a court decides that applicable law precludes enforcement of any of the limitations in this section as to a particular claim for relief, then that claim (and only that claim) must be severed from the arbitration and may be brought in court.

Miscellaneous

California consumer laws: Under California Civil Code Section 1789.3, users of Envato Labs from California are entitled to the following specific consumer rights notice: The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted (a) via email at dca@dca.ca.gov; (b) in writing at: Department of Consumer Affairs, Consumer Information Division, 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834; or (c) by telephone at (800) 952-5210 or (800) 326-2297 (TDD). Sanctions: We are subject to trade and economic sanctions and laws and regulations that govern the use of our services. These laws or regulations may prohibit us from providing services to you or require that we discontinue making services available to you without notice. By using our services you agree to comply with all trade or economic sanctions, export and import laws and regulations and warrant that: (i) you are not prohibited from accessing our services; and (ii) you will not make our services available to anyone who is prohibited from accessing them under the laws or regulations of any jurisdiction.
Relationship between the parties: Nothing in the Labs Terms is to be construed as constituting a partnership, joint venture, employment or agency relationship between you and any Group Company, or between you and any other User. You cannot act on behalf of or bind a Group Company or any other User in any way.
Use of Group Company services: We may use the services of another Group Company for any purpose in relation to Envato Labs.
Changes to terms: We may change the Labs Terms (and any policies or agreements referenced in the Labs Terms) at any time. We will post the current version of the Labs Terms on the Website. You can also keep track of whether changes have been made by referring to the version and effective date of these Labs Terms. By continuing to use Envato Labs after the effective date of the changes, you agree to be bound by the updated terms. If you do not agree with the changes, you should not use Envato Labs.
Changes to our services: We may add, change or remove features, products or functionality to Envato Labs or discontinue, temporarily or permanently, Envato Labs and/or any AI Product (or any part thereof) at any time with or without notice.
Assignment: You may not transfer or assign the Labs Terms, or any of your rights or obligations under the Labs Terms without Envato’s prior written consent. Envato may transfer or assign any of its rights and obligations under the Labs Terms, in whole or in part, at any time with or without notice.
Entire agreement: The Labs Terms (and any policies or agreements referenced in these Labs Terms) constitute the entire agreement between you and Envato with respect to Envato Labs. The Labs Terms supersede any prior representations, agreements, or understandings between you and Envato, whether written or oral, with respect to Envato Labs including previous versions of the Labs Terms. The English version of the Labs Terms will control.
Severability: If any individual term of the Labs Terms is found to be invalid or unenforceable, such finding will be limited solely to such invalid or unenforceable part, without affecting the remaining parts of such individual term, or any other part of the Labs Terms, so that the Labs Terms shall otherwise remain in full force and effect.
Waiver: Envato’s express waiver or failure to enforce any provision of the Labs Terms shall in no way be construed to be a present or future waiver of such provision nor affect Envato’s ability to enforce any provision thereafter.
Governing law: The Labs Terms are governed by and shall be construed in accordance with the laws of the State of New York, without regard to any conflict of laws principles.

Definitions

Envato, we, us or our: Shutterstock, Inc.

Envato account: what you receive when you become a Member which gives you access to Envato sites, including Envato Labs.

Envato Elements: the online subscription service made available by Envato at https://elements.envato.com (or any successor site), including all features, functionalities, websites, software, Items and other content offered, provided or made available thereon.

Envato Labs: the AI service from Envato that comprises the Website and the AI Products.

Group Companies: Envato and any company that controls, is controlled by or is under common control with Envato. References to a Group Company include any successors (whether by merger, purchase or otherwise) and permitted assigns.

Input: any information, data, materials, commands or other content (such as a text, or media such as images, video, audio, or other multimedia files) that is submitted or uploaded by the User into an AI Product to generate an Output based on the information it has processed.

Member: any User who creates and maintains an Envato account with us.

Output: content generated by an AI Product, including but not limited to images, artwork, graphics, icons, music, text-to-voice audio, image-to-video, text to video and other content such as retrieved image results, based on the Input submitted by a User.

User, you or your: each person who accesses or uses Envato Labs, whether or not they are a Member.
