About us and these terms

Welcome: Hi, we’re Envato and welcome to Envato Labs.
Product Terms: By using Envato Labs, you agree that these Product Terms, which supplement and form part of the Envato Labs User Terms (together the Labs Terms), make up your agreement between us and you for your use of any of the features, extensions, tools, products and services (AI Products) made available by Envato as part of Envato Labs. Please take the time to read these Product Terms and check them regularly as they may be amended from time to time. If you do not agree to all of the Product Terms and the Envato Labs User Terms, you should not use the AI Products.
AI Products: The AI Products include but are not limited to ImageGen, ImageEdit, VideoGen, VoiceGen, MusicGen, GraphicsGen, SoundGen and other AI-powered tools, functionality and products that Envato may make available as part of Envato Labs from time to time.
Definitions: Any capitalized terms will have the meanings set out in these Product Terms or, if not defined in these Product Terms, have the meanings given to them in the Envato Labs User Terms (unless the context requires otherwise). To the extent of any inconsistency between these Product Terms and the Envato Labs User Terms, these Product Terms will prevail.

AI Products availability

Access: Envato Labs is provided at Envato’s sole discretion and its tools and features (including AI Products), or usage limits may be modified, restricted, or discontinued at any time, without notice to you. Envato will not be liable for any loss, damage, or costs arising from such changes, and no refund or credit will be provided unless otherwise agreed in writing.
Availability: The AI Products may be made available across Envato owned and operated services, platforms, websites and products (Envato Platforms), including on Envato Labs (https://labs.envato.com/), and via third party services, platforms, websites or products (Third Party Platform) where, for example, we make an AI feature or extension available on that Third Party Platform. To avoid doubt, use of the AI Products, whether via Envato Platforms or Third Party Platforms, remains subject to these Product Terms.
Third Party Platforms: If you are accessing an AI Product via a Third Party Platform:

(a) unless otherwise expressly stated on the Third Party Platform, you must have an Envato Elements subscription to obtain access and use of that AI Product on the Third Party Platform; and

(b) in addition to your compliance with the Product Terms, your activities on the Third Party Platform may be subject to the terms and conditions applicable to the use of that Third Party Platform.

Third Party AI Providers

Third Party AI Providers: We may use third party generative AI tools, APIs, programs, services, websites and platforms as part of the AI Products (Third Party AI Providers). You acknowledge and agree that in respect of Third Party AI Providers:

(a) Envato does not control, endorse nor assume any responsibility for the practices or policies of any Third Party AI Provider, and we will not be liable to you in any way whatsoever for any matters related to a Third Party AI Provider or the use or availability of its services;

(b) Envato has no liability arising from your use of, or access to any content made available (including any outputs generated) through a Third Party AI Provider; and

Input and Output

Generation of Output: Envato Labs offers you the ability to use artificial intelligence to generate Outputs based on the specific Inputs that you submit to the respective AI Product.

For example, a text prompt to ImageGen will generate a collection of image-based Outputs based on that text prompt.

Rights to Output: As between you and Envato, Envato, its licensors, and Group Companies retain all right, title and interest in and to Envato Labs and the Output, and grants you a license to use the Output as set out in clause 15. For clarity, no rights in the Output are assigned to you, except in respect of any embedded portions of your Input, and only to the extent that you hold pre-existing rights in that Input.
Your Input: To the extent that your Input is not pre-existing content made available by Envato, including items from Envato Elements, enhanced text prompts using an Envato feature or other pre-generated images or content made available by Envato, as between you and Envato, you retain all right, title and interest in and to your Input, and you are responsible for all Input that you submit or upload to Envato Labs, including your own text prompts, images or third party content that you share.
Input representations and warranties: You represent and warrant that:

(a) you have all necessary rights, licenses and consents required to use your Inputs;

(b) your Inputs do not use or include any names or likenesses of real people (including voices and or any other likeness in audio content), any copyright, trademarks, designs, trade dress, logos, works of art or architecture, or other elements that may be protected by third-party intellectual property rights that you do not have the right to use;

(c) your Inputs do not violate any applicable laws, third party rights, or any Envato Terms (including the Labs Terms); and

(d) your Inputs comply with all applicable data protection laws and do not contain personal information.

Data Retention: By using Envato Labs and the AI Products, you acknowledge and agree that we may automatically store and retain any Input, data or content you submit, process, or generate through Envato Labs, in accordance with our Privacy Policy and applicable laws.
Acknowledgement of Output: When you generate Output via Envato Labs, you acknowledge and agree:

(a) your Output may not be unique and other users may generate similar or identical outputs if they submit Input to Envato Labs that is similar to your own Input. You acknowledge and agree that in those circumstances, the specific Output received by another user will not be considered your Output and that user will have the right to use that Output and its content for their own purposes in accordance with these Product Terms;

(b) Envato makes no guarantees, representations or warranties as to the accuracy, or the rights in, or lack of third party infringement risk in relation to any Output generated on Envato Labs (including in in respect of intellectual property rights, locations, names and likenesses);

(c) your Output may not be accurate and should not be relied on as a source of truth or as a substitute for any professional, medical or legal advice;

(d) use of your Output is at your own risk and you are solely responsible (at your own cost and expense) for managing the use of your Output and ensuring that you have evaluated and assessed your Output for accuracy, legality and appropriateness (including non-infringement of third party rights) before you use the Output for your particular purposes (whether commercial or non-commercial);

(e) Output may be generated that is offensive or objectionable and such Output does not represent Envato’s views and Envato disclaims all liability for any such Output;

(f) if any Output generated includes references to third party products or services, it does not mean that Envato or a Group Company has any endorsement or affiliation with those third party products or services; and

(g) neither Envato nor any Group Company takes any responsibility or assumes any liability for the Output you generate or your use of any Output for any purpose.

Output Rights:

(a) General Output Rights:

i. Excluding MusicGen, for Output generated under this clause 15(a), you are granted a non-exclusive, commercial, worldwide, royalty-free and perpetual license to use, modify and reproduce the Output generated by you, provided it is incorporated with other content and/or elements to create a new work that is larger in scope and different in nature than the Output itself (this new work being an End Product). To avoid doubt, editing an Output using the ImageEdit tool will not be considered a new work or a standalone End Product, and that ImageEdit Output must be used and/or incorporated into an End Product that is larger in scope than the ImageEdit Output itself.

ii. While no rights in the Output are assigned to you, as between you and Envato, you retain all right, title and interest in and to the Input you submit, and if the Output contains any embedded portions of your original Input, you will retain all right, title and interest in those embedded portions, and only to the extent that you hold pre-existing rights in that Input. Only the AI-generated components of the Output will be under license to you.

For example, if you upload a photograph to generate a video on VideoGen you retain all of your pre-existing rights in and to the source photograph and any portion of the final Output that comprises the source photograph. All other AI generated components of the VideoGen Output will be licensed to you by Envato in accordance with these Product Terms.

(b) Use of Elements Items: If an Envato Elements item has been used as Input to generate an Output (for example, editing an Elements photograph using ImageEdit), the license and use of that Output remains subject to the terms of the Envato Elements License, however your use of the AI Products to edit the Envato Elements item, and creation and use of any AI Components, must comply with these Product Terms.

(c) MusicGen Output RIghts: The following applies to any Output generated using MusicGen (MusicGen Output). To avoid doubt, “MusicGen Output” is included under the definition of “Output”.

i. Subject to Clause 15(c)(ii) and your compliance with the output creation restrictions under Clause 16, you are granted a non-exclusive, commercial, worldwide, royalty-free and perpetual license to use, modify and incorporate MusicGen Output into an End Product.

ii. If an audio or music item from Envato Elements has been used as Input to generate MusicGen Output, use of that MusicGen Output remains subject to the terms of the Envato Elements License, and you will remain responsible for payment of any performing rights fees that may apply in your country, which will depend on the rules of your local performing rights organisation, your local laws, and your use of the item as part of the Output.

iii. If MusicGen Output is edited using an editing tool (Edited MusicGen Output), that Edited MusicGen Output is not considered a new work or a standalone End Product and must be used and/or incorporated into an End Product that is larger in scope than the Edited MusicGen Output itself.

iv. You are not permitted to submit any of the following as part of Input to MusicGen:

(1) any musical artist’s (whether living or deceased) real name or stage name;

(2) any songwriter’s (whether living or deceased) real name or stage name;

(3) any song title;

(4) any album title;

(5) any music publisher company’s name;

(6) any music label’s name; or

(7) a substantial or distinct portion of any song’s lyrics such that a reasonable person would determine the prompt was intended to reference a particular song.

v. You are not permitted to license or sell the MusicGen Output (including the underlying song composition of a MusicGen Output) as a standalone asset, for free or for commercial purposes. through any channels including but not limited to audio streaming platforms, stock audio platforms, podcasts where the music streaming is the primary purpose of the podcast or videos where music is the primary purpose of the video (such as a meditation video).

vi. To avoid doubt, you are being granted a license to the MusicGen Output only, and no rights of ownership are granted to you, even if modified in accordance with these Product Terms. For example, if you sync a piece of MusicGen Output into your video, you can’t claim rights to the music through applying “Content ID” rights or similar systems to the music in your video.

(d) Limited Sublicense: If you generate Output to be used as part of an End Product for a client, you may transfer the final End Product to your client, including a sublicense to the Output, provided that:

i. you have complied with these Product Terms in creation of the Output; and

ii. the sublicense to the Output is only granted on condition that use of the Output by the client is limited to that use which is necessary in order to use the End Product. The Output must not be extracted, reproduced or used by the client in any other way.

Output Creation Rules: You agree that you will not use Envato Labs and the AI Products to generate any harmful, unlawful or offensive content, and in addition to Envato’s Acceptable Use Policy, it is prohibited to submit or upload any Input or generate any Output that:

(a) affects other users’ use or enjoyment of Envato or Envato Labs;

(b) contains or generates content or materials that is false, misleading, fraudulent, unlawful, abusive, harassing, defamatory, obscene, hateful, vulgar, pornographic, shocking or offensive or otherwise promotes or facilitates such activities;

(c) promotes illegal, unethical or criminal activity, violence, racial or religious discrimination or extremism, hate crimes or terrorism;

(d) promotes or encourages self-harm, including suicide or eating disorders;

(e) infringes or is reasonably likely to infringe any third party rights, including intellectual property rights, privacy rights, property rights;

(f) threatens child safety, including creation of age-inappropriate material, sexually explicitly material involving minors, promotion of child abuse or exploitation, or facilitates or contributes to cyberbullying or harrassment;

(g) contains depictions of sexual violence, explicit pornography, non-consensual acts, animal cruelty, or extreme violence;

(h) contains or generates personal information about others, particularly sensitive information;

(i) contains or generates content or information that would have a a legal or material impact on any person, for example, educational, employment, financial, legal, medical or other material decisions;

(j) contains or generates content or materials that engages in or facilitates the use, acquisition, or exchange of regulated drugs or other controlled goods and services, including advertising, medical advice, or providing instructions on their production;

(k) contains or generates content or materials that engages in fraudulent, predatory or abusive practices such as facilitating unauthorized robocalling or the generation and distribution of spam;

(l) is an unauthorized, deceptive or harmful impersonation (for example, creating or using VoiceGen audio output to intentionally replicate the voice of another person):

i. without consent or legal right;

ii. in a way that harasses or causes material harm to that person, including via unauthorized sexualization; or

iii. in a manner intended to deceive others about whether the Output (including any image, video or voice) was generated by artificial intelligence, including robocalls; or

iv. in the use of MusicGen, generates Output that replicates or mimics the voice, likeness, or identifiable characteristics of any recording artist in a manner that is likely to be found misleading, confusing, or implies a false impression of association or endorsement.

(m) engages in voter suppression, candidate impersonation, or political campaigning in the context of elections including using services to:

i. incite, engage in or facilitate voter suppression or other disruption of electoral or civic processes, including by creating, distributing, or facilitating the spread of misleading information;

ii. impersonate political candidates or elected government officials regardless of whether authorization was obtained; or

iii. engages in political campaigning, including promoting or advocating for a particular candidate, issue, or position, or soliciting votes or financial contributions;

(n) contains content that endangers or harms national security or the national interests of any country or jurisdiction, or or otherwise promotes or facilitates such activities;

(o) contains or generates viruses, spyware, or other harmful components;

(p) contains or generates content used as commercial solicitation or spam; or

(q) generates content intended to mislead individuals that the Output has been created by humans.

If we are made aware that your use of the AI Products does not comply with these Labs Terms, we will, acting reasonably, suspend your access to Envato Labs, and subject to our sole discretion, your Envato account may also be suspended or terminated.

Output Use Restrictions: You acknowledge that in respect of any Output, you will NOT yourself nor will you permit others to:

(a) sell, modify, re-use or re-sell the Output on a stand-alone basis;

(b) use the Output for unlawful purposes as set out under Clause 16, or for any purposes set out in Envato’s Acceptable Use Policy;

(c) use, publish, broadcast, transmit, deploy, distribute or make available any Output that you know or should have known would, or is reasonably likely to infringe a third party’s intellectual property or other protected rights;

(d) use Output in any application that allows an end user to customize a digital or physical product to their specific needs, such as an “on demand”, “made to order” or “build it yourself” application;

(e) use Output in electronic or digital templates intended for resale or other distribution (for example, website templates, business card templates, electronic greeting card templates, and brochure design templates), but to avoid doubt, such Output may be used for “preview” or “demo” purposes, provided that the Output is not made available as part of the template download;

(f) use or permit the use of the Output, or any part thereof, as a trademark or service mark, or claim any proprietary rights of any sort thereto;

(g) use the Output as part of any dataset to train machine learning and/or artificial intelligence technologies (including those designed or intended for the identification of natural persons); or

(h) generate Output that you do not intend to appropriately use, such as generating high volumes of Output in a short period of time, using scripts or bots to mass generate high volumes of Output, or engaging in other generation or download behaviour that suggests inappropriate, excessive, or unusual use patterns, or in any other manner described in our Fair Use Policy.

Rights of Envato and the Group Companies: You acknowledge and agree that Envato and the Group Companies:

(a) retain worldwide, commercial and perpetual rights to use, copy, reproduce, process, adapt, modify, publish, transmit, create derivative works of, publicly display, publicly perform, and distribute any Output generated by you for any purpose of the Group Companies (as defined in the Envato Labs User Terms) including marketing and promotional purposes and developing new products, features and services (and granting non-exclusive sub-licenses to permit its licensees to do the same);

(b) retain the right to use the Output for the purposes of providing, maintaining, promoting, and improving products and services of Envato and the Group Companies;

(c) retain the right to use the Output for the purposes of complying with applicable laws, enforcing the Labs Terms and policies and keeping Envato Labs secure;

(d) reserve the right to remove any Output for any reason at our discretion, including for quality assurance or if we think that the Output generated is unauthorized, misleading, incorrect, offensive, illegal, inappropriate, or in breach of the Labs Terms or anyone else’s rights, or if we think that your use of Envato Labs might result in liability to us or anyone else;

(e) reserve the right to restrict or terminate access to an AI Product if Envato detects behaviour that is suggestive of inappropriate or illegal use of the AI Product; and

(f) retain the right (and at its sole discretion) to publish, communicate, perform and otherwise make any Output publicly available on any platform operated by a Group Company on an “AS IS” and royalty-free basis, and to grant non-exclusive, commercial worldwide, royalty-free licenses to other users to access and use such Output (being Public Content).

Public Content: If any Public Content (whether created by you or another user) is made available as part of an AI Product on Envato Labs, you are granted a non-exclusive, worldwide, royalty-free and perpetual license to access and use and modify such Public Content to create End Products in accordance with these Product Terms. To avoid doubt:

(a) Public Content is made available to you on an “AS IS” basis. To the extent permitted by applicable laws, we disclaim all warranties, express or implied, including any implied warranties of non-infringement, merchantability and fitness for a particular purpose;

(b) neither Envato nor the Group Companies takes any responsibility or assumes any liability for the Public Content or your use of any Public Content for any purpose; and

Links

Linking to an AI Product: We reserve the right to insist that any link to an AI Product or Output be discontinued, and to revoke your ability to link to the AI Product or Output.
Links from an AI Product: If an AI Product contains links to third party websites (such as via InspoGen), you acknowledge that Envato has no control or responsibility over anything on those websites, and does not endorse or sponsor those websites, even if they are affiliated to us. You are solely responsible for your activities on these third party websites, including compliance with their applicable terms and conditions, and obtaining all necessary rights licenses and clearances to use any third party content available on those websites.

Our use of your information

Your details: Our Privacy Policy explains how we deal with your information, however, we strongly recommend that you don’t make your contact details public on Envato Labs, including submitting personal information as Input such as user name, email address, street address, phone number or identifiable images of you.
Confidential Information: We employ a number of technical, organizational and physical safeguards designed to protect your personal and confidential information. However, no security measures are failsafe and we cannot guarantee the security of your information. We will have no liability to you for any unauthorized access or use of any of your information, or any corruption, deletion, destruction or loss of any of your information including any Input or Output.

Miscellaneous

Changes to these terms: In accordance with the Envato Labs User Terms, we may also change these Product Terms at any time. We will post the current version of these Product Terms on the Website. You can also keep track of whether changes have been made by referring to the version and effective date of these Product Terms. By continuing to use the AI Products after the effective date of the changes, you agree to be bound by the updated terms. If you do not agree with the changes, you should not use Envato Labs or the AI Products.
Entire agreement: These Product Terms, together with the Envato Labs User Terms and the other terms referenced therein and herein (including all applicable Envato Terms), constitute the entire agreement between you and Envato with respect to Envato Labs.
Notices: For any notice or queries regarding any AI Product or Output, or about these Product Terms, please contact labsteam@envato.com. Any notice we send to you may be provided via the Website.
